The term "Ultra Vires" comes from Latin, meaning "beyond powers." It refers to actions taken by a person or organization that go beyond the legal authority given to them. In constitutional and administrative law, it is used to denote acts done by a government body, authority, or corporation that exceed the powers conferred upon it by law or its founding documents. Ultra Vires refers to any act or decision made by a public authority, government body, or company that goes beyond the powers granted to it by the Constitution, statute, or its own charter (e.g., Memorandum of Association in company law). Such acts are considered void and unenforceable. The doctrine plays a crucial role in judicial review. Under Article 7 of the Constitution of Bangladesh, the Constitution is the supreme law of the land. Any law inconsistent with the Constitution is void. Article 26 further strengthens this by stating that the State shall not make any law inconsistent with the fundamental rights. In the landmark case Anwar Hossain Chowdhury vs. Bangladesh, the Supreme Court declared the 8th Amendment unconstitutional as it violated the basic structure of the Constitution. The amendment attempted to decentralize the judiciary, which was deemed ultra vires to the Constitution. While the doctrine ensures legal accountability, it has been criticized for being overly rigid. Many countries have relaxed this rule, but Bangladesh still follows it. Critics say it limits business flexibility and discourages investment.
